1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and GrantFlux ("we," "us," or "our") concerning your access to and use of our Services. By creating an account or using the Services, you agree to be bound by these Terms.

2. Description of Services

GrantFlux provides a suite of software tools for academic researchers, including but not limited to: Deep Peer Analysis for funding strategy, FluxReader for enhanced document interaction, EchoLearn for audio-based learning, Funding Co-pilot for agentic grant discovery, and ResearchGPT for conversational literature search. We reserve the right to modify or discontinue any part of the Services at any time.

3. Account Registration and Responsibilities

You must register for an account to access the Services. You agree to provide accurate, current, and complete information. You are responsible for safeguarding your password and for all activities that occur under your account. You must be a human; accounts registered by "bots" or other automated methods are not permitted.

4. Intellectual Property Rights

This section is critical and defines ownership of content.

• Our Intellectual Property: The Services, including the underlying software, algorithms, user interface, and branding, are and will remain the exclusive property of GrantFlux.
• Your Intellectual Property: You retain full ownership and all intellectual property rights to your research data, publications, and any original scholarly content you provide to or generate within the Services ("Your Content").
• License to Us: By using the Services, you grant GrantFlux a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and process Your Content solely for the purpose of operating, providing, and improving the Services for you. This license does not grant us the right to sell or distribute Your Content.

5. Subscriptions and Payment

Our Services are billed on a subscription basis. You will be billed in advance on a recurring, periodic basis (monthly or annually).

• Trials: The "Researcher Pro" plan may include a 7-day free trial. If you do not cancel before the trial ends, you will be automatically charged for the subscription.
• Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account dashboard or by contacting support.
• Cancellation: You may cancel your subscription at any time. The cancellation will take effect at the end of the current billing period, and you will not be charged for subsequent periods.
• Enterprise and Institutional Plans: For academic departments and institutions, special licensing terms may apply. Please refer to your institutional agreement for details.

6. Acceptable Use

You agree not to use the Services to: (a) violate any applicable law or regulation; (b) infringe the intellectual property rights of others; (c) upload or transmit any material that is unlawful, harmful, or malicious; (d) attempt to reverse-engineer or otherwise compromise the integrity of the Services.

7. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. You may terminate your account at any time by canceling your subscription. Upon termination, your right to use the Services will cease immediately.

8. Disclaimers and Limitation of Liability

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for accuracy, we do not warrant that the results obtained from the use of the Services (e.g., funding recommendations) will be accurate, reliable, or complete.

To the maximum extent permitted by law, GrantFlux shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Services.

9. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of any significant changes by email or through a prominent notice on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
